This Founder's Agreement ("Agreement") is made effective as of July 21, 2025 by and for Becky Chadburn ("the Founder"), the sole founder of the Guardian Angel project ("the Company"). The purpose of this Agreement is to formally document the foundational principles, ownership, and operational structure of the Company.
The Founder, Becky Chadburn, shall serve as the company's Founder & CEO. Her responsibilities include, but are not limited to: - Setting the overall vision, mission, and strategic direction of the Company. - Overseeing product development, marketing, and operations. - Managing finances, fundraising, and partnership development. - Acting as the primary decision-maker for all aspects of the business.
As of the effective date of this Agreement, 100% of the equity and ownership of the Company is held by the Founder, Becky Chadburn. Should any additional partners or employees be brought on in the future, a separate, legally reviewed agreement detailing equity distribution, vesting schedules, and other relevant terms will be drafted.
All intellectual property, including but not limited to the Guardian Angel name, logo, branding, source code, designs, content, business plans, and any other proprietary information developed by the Founder for the Company, both before and after the effective date of this Agreement, is the sole and exclusive property of the Founder. Any future contributions of IP by employees, contractors, or partners will be governed by separate agreements (e.g., employment agreements with IP assignment clauses) to ensure all IP is owned by the Company.
As the sole founder, Becky Chadburn holds ultimate authority on all business decisions. This includes, but is not limited to, decisions regarding strategy, finance, hiring, partnerships, and product development.
The Founder agrees to maintain the confidentiality of all proprietary information related to the Company. This clause will extend to all future employees, contractors, and partners through separate Non-Disclosure Agreements (NDAs) where appropriate.
